Judith S. Sapir
Judith Sapir, senior vice president, general counsel and secretary, is based in APCO Worldwide's Washington, D.C. office. With the assistance of her legal team, she manages and advises on all legal and corporate governance issues concerning APCO entities worldwide including establishing new entities around the world; mergers and acquisitions; overseeing all APCO entities corporate governance requirements; completing a corporate reorganization for tax purposes; overseeing the company's stock purchase offering, stock grants and employee stock option plans; structuring and documenting strategic alliances and other business relationships; negotiating, drafting, reviewing and interpreting agreements including leases; establishing and drafting the company's policies and procedures that have legal implications; providing counsel on employment law matters; advising on intellectual property issues; providing guidance in regards to potential conflict of interests; selecting and managing outside U.S. and host country counsels; managing claims, litigation and subpoena requests; handling insurance claims, resolving disputes; filing Lobbying Disclosure Act and Foreign Agent Reporting Act reports; training clients on contract drafting, ethics and compliance matters (including the Foreign Corrupt Practices Act); and advising on immigration law issues. She is a member of the APCO Executive Committee and an ex-officio member of APCO's Responsible Business Committee.
Prior to joining APCO, Ms. Sapir was senior commercial counsel at the Overseas Private Investment Corporation (OPIC), where she worked in the areas of international project finance, investment funds and political risk insurance. She has experience working with U.S. companies; multinational corporations; bilateral and multilateral financial institutions; private financial institutions; and the U.S. Departments of State, Treasury, Commerce and Energy. In addition, she negotiated bilateral agreements with foreign governments on behalf of the U.S. government.
Prior to working at OPIC, Ms. Sapir was assistant general counsel of PRC Inc., a large science and technology company and U.S. government contractor. Ms. Sapir was an associate at the law firm of Wilmer, Cutler & Pickering (WC&P) for seven years, joining WC&P upon graduating from George Washington University law school in 1986. Ms. Sapir also did a short stint as the Washington Representative for the Union of Counsels for Soviet Jews prior to her law career.
Ms. Sapir is a member of the Board of Directors of the Washington Metropolitan Area Corporate Counsel Association (WMACCA) and a Chair of its Advocacy Committee. Previously she was the Chair of WMACCA's Global Issues Forum, Vice Chairperson of the Syracuse University Abroad Advisory Board, and a member of the Lafayette Federal Credit Union Supervisory Committee. She is a frequent speaker at legal conferences.
Ms. Sapir has published two articles, “New Procurement Certification Requirements Show Need for Contractor Information Controls” in the Washington Regulatory Report, January 1989 and “Use of Epidemiological Studies to Prove Legal Causation: Aspirin and Reye’s Syndrome, A Case in Point,” in the Tort and Insurance Law Journal, 1987.
Ms. Sapir is admitted to practice law in the District of Columbia, the state of Maryland, and the Commonwealth of Virginia. |
